This AGREEMENT AND PLAN OF REORGANIZATION (the "AGREEMENT") is made and entered into as of April 26, 2000 among KOMAG, INCORPORATED, a Delaware corporation ("PARENT"), KHM, INC., a Delaware corporation and a wholly-owned subsidiary of Parent ("MERGER SUB"), and HMT TECHNOLOGY CORP., a Delaware corporation (the "COMPANY").
