AGREEMENT made this March 1, 1996 by and between WesMark Funds (the "Trust"), a Massachusetts business trust, and EDGEWOOD SERVICES, INC. (`ESI''), a New York Corporation. In consideration of the mutual covenants hereinafter contained, it is hereby agreed by and between the parties hereto as follows: 1.
