This Mutual Release and Settlement Agreement ("Agreement") is entered into effective February 1, 2002, by and between Accurate Designs, Inc. ("ADI") and Harold Pearsall ("Pearsall") on one hand, and Rubicon Medical, Inc. ("Rubicon"), on the other. ADI, Pearsall and Rubicon are sometimes referred to collectively herein as the "Parties."
