This Agreement and Plan of Reorganization (the “Agreement”) is made as of May 23, 2007, by and between John Hancock Mid Cap Growth Fund (the “Acquired Fund”), a series of John Hancock Investment Trust III (the “JHIT Trust”), a Massachusetts business trust, and John Hancock Growth Opportunities Fund (the “Acquiring Fund”), a series of John Hancock Funds III (the “JHF Trust”), a Massachusetts business trust.
