This Agreement and Plan of Reorganization (the “Agreement”) is made as of September 26, 2007, by and between John Hancock Allocation Core Portfolio (the “Acquired Fund”), a series of John Hancock Capital Series (the “JHCS Trust”), a Massachusetts business trust, and Lifestyle Balanced Portfolio (the “Acquiring Fund”), a series of John Hancock Funds II (the “JHF Trust”), a Massachusetts business trust.
