THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Plan”) is made this 17th day of December, 2010, by John Hancock Trust (“JHT”), a Massachusetts business trust, on behalf of the Large Cap Value Trust (the “Acquired Fund”) and the Equity-Income Trust (the “Acquiring Fund”), each of which is a separate series or portfolio of JHT, and, for purposes of Section 9 of the Plan only, by John Hancock Investment Management Services, LLC (“JHIMS”), the investment adviser to JHT.
