THIS PURCHASE AND SALE AGREEMENT is made and entered into as of July 22, 2014 (the “Effective Date”) by and between 83 HIGH STREET, LLC, a Delaware limited liability company (“Seller”), IHS ACQUISITION NO. 125, INC., a Delaware corporation (“Existing Operator”), and HIGH STREET NURSING, LLC, a Georgia limited liability company (“Purchaser”).
