This STOCK PURCHASE AGREEMENT (“Agreement”) dated as of December 23, 2002, is entered into by and among BEA Systems, Inc., a Delaware corporation (the “Buyer”), XQRL, Inc., a Delaware corporation (the “Company”), and Fabio Riccardi (“Riccardi”), Daniela Florescu (“Florescu”) and Donald Kossmann, individually, and together with Internet TV Transaction A.G., in its capacity as holder of Donald Kossmann’s equity interest in the Company (“Kossmann”) (individually, each of Riccardi, Florescu and Kossmann a “Stockholder” and collectively, the “Stockholders”).
