This EXECUTIVE EMPLOYEE AGREEMENT (“Agreement”) is made and effective March 31, 2003, or the agreed-upon first day of employment (“Effective Date”), by and between Nuance Communications, Inc. a Delaware corporation, with its principal offices at 1005 Hamilton Court, Menlo Park, California (“Company”), and Charles W.
