This EXECUTIVE EMPLOYMENT AGREEMENT (the “Agreement”) is entered into as of the 12th day of June, 2003 (the “Effective Date”), by and between EXAR CORPORATION, a Delaware corporation (the “Company”), and DONALD L. CIFFONE, JR. (“Executive”). This Agreement is an amendment and restatement of the Executive Employment Agreement dated December 6, 2000 between Executive and the Company, as amended and restated on June 21, 2001 and March 28, 2003.
