DEED IN LIEU OF FORECLOSURE AGREEMENT (Lenexa, Kansas) THIS DEED IN LIEU OF FORECLOSURE AGREEMENT (this "Agreement") is made as of July 31, 2003 between FANNIE MAE, a corporation organized and existing under the laws of the United States of America (the "Lender"), ALS KANSAS, INC., a Delaware corporation (the "Borrower"), and ALTERRA HEALTHCARE CORPORATION, a Delaware corporation (the “Key Principal”). RECITALS: This Agreement is based upon the following recitals: A. On July 16, 1999, Amresco Capital, L.P., a Delaware limited partnership (the “Original Lender”), made a loan to Borrower (the “Loan”). B. This SETTLEMENT AGREEMENT, MUTUAL RELEASE AND ASSIGNMENT (this "Agreement"), dated as of October 11, 2003, is entered into by and among: Alterra Healthcare Corporation, a Delaware corporation ("Alterra"); The Margolick Financial Group LP, a Michigan limited partnership ("Margolick"); the Limited Partnerships (as hereinafter defined); and the Settling Limited Partners (as hereinafter defined).
