THIS SHARE EXCHANGE AGREEMENT (the "Agreement") is made and entered into as of October 15, 2009, by and among MOUNTAIN WEST BUSINESS SOLUTIONS, INC. a Colorado corporation ("MWBS"), whose principal place of business is located at 9844 W Powers Circle, Littleton, Colorado 80123; SUNSHINE BIOPHARMA COLORADO, INC., a Colorado corporation ("Sunshine"), with its principal place of business located at 12835 E.
