ASSET PURCHASE AGREEMENT, dated as of July 28, 2005 (the “Agreement”), between Farwell Equity Partners, LLC , a Delaware limited liability company (the “Parent”), Oblio Telecom, Inc., a corporation existing under the laws of Delaware and a wholly owned subsidiary of Parent (“Acquisition Sub”), Oblio Telecom L.L.P., a privately held limited liability partnership existing under the laws of Texas (the “Seller”), and Sammy Jibrin and Radu Achiriloaie (the “Owners”).
