THIS SETTLEMENT AGREEMENT AND MUTUAL RELEASE (“Agreement”) is made and entered into between CANNON OFFICES, LLC, a Florida limited liability company (“Cannon”) and KESSELRING HOLDING CORPORATION, a Delaware Corporation (“Kesselring”). Cannon and Kesselring are hereinafter collectively referred to as the “parties”. This Settlement Agreement shall become effective as of the 2nd day of July, 2008 (the “Effective Date”).
