This agreement (“Adoption Agreement”) is executed by the undersigned (the “Additional Shareholder”) pursuant to the terms of that certain shareholders’ agreement (the “Shareholder Agreement”) executed by the Shareholders of Omagine LLC (the “Company”) and dated as of April 20, 2011, a copy of which is attached hereto and is incorporated herein by reference.
