THIS SUBSCRIPTION AGREEMENT (this “Agreement”) is made as of the last date set forth on the signature page hereof between Macrosolve Inc., an Oklahoma corporation, soon to be known as, Drone Aviation Holding Corp., a Nevada corporation (the “Company”), and the undersigned (the “Subscriber”). The Company is conducting a private placement (the “Offering”) of up to $120,000 of shares (the “Shares” or the “Securities”) of the Company’s newly designated Series C Convertible Preferred Stock, par value $0.0001 per share (the “Series C Preferred Stock”), which shall have such rights as set forth in the Certificate of Designations of Preferences, Rights and Limitations of Series C Convertible Preferred Stock (the “Series C Certificate of Designation”) at a purchase price of $0.3380281 per Share (the “Purchase Price”). Each share of Series C Preferred Stock is convertible into One Hundred (100) shares of the Company’s common stock, $0.0001 par value per share (the “Common Stock”).
