This Equity Purchase Agreement (this “Agreement”), dated as of October 27, 2023, is entered into between Beijing Hehe Property Management Co., Ltd., a company established under the rules of the People’s Republic of China (“Seller”), Shanghai Highlight Entertainment Co., Ltd., a company established under the rules of the People’s Republic of China (“Buyer”), and GD Culture Group Limited (“GDC”). Capitalized terms used in this Agreement have the meanings given to such terms herein.
