AMENDMENT NO. 1 (this “Amendment”) dated as of September 16, 2015 relating to the CREDIT AGREEMENT, dated as of November 10, 2014 (as amended, amended and restated, supplemented or otherwise modified prior to the date hereof, the “Credit Agreement”), among E*TRADE FINANCIAL CORPORATION, a Delaware corporation (the “Borrower”), JPMORGAN CHASE BANK, N.A., as administrative agent (in such capacity, including any successor thereto, the “Administrative Agent”), MORGAN STANLEY SENIOR FUNDING, INC., as syndication agent and each lender from time to time party thereto (collectively, the “Lenders” and individually, a “Lender”).
