THIS EIGHTH AMENDMENT TO LOAN AND SECURITY AGREEMENT (“Amendment”), dated as of November 15, 2012 (the “Amendment Date”), is between LAPOLLA INDUSTRIES, INC. (“Borrower”) and BANK OF AMERICA, N.A., a national banking association (“Lender”).

THIS AMENDMENT NO. 1 TO NOTE PURCHASE AGREEMENT (this “Amendment”), dated as of November 15, 2012, is by and among LAPOLLA INDUSTRIES, INC., a Delaware corporation (the “Debtor”), ENHANCED JOBS FOR TEXAS FUND, LLC, a Delaware limited liability company, and ENHANCED CAPITAL TEXAS FUND, LP, a Texas limited partnership (together, the “Purchasers”). Unless otherwise defined herein or the context otherwise requires, capitalized terms used herein shall have the meanings ascribed thereto in the Note Purchase Agreement (as defined below).
