Subject to the terms and conditions contained in this subscription agreement, including the terms and conditions set forth in Schedule “A” hereto, the undersigned (the “Purchaser”), hereby irrevocably subscribes for and agrees to purchase the number of units (the “Units” or the “Purchased Securities”) of NEWGIOCO GROUP, INC. (the “Corporation”) as set forth below at a purchase price of CDN$1,000 per Unit (the “Purchase Price”).
