This AGREEMENT FOR SHARE EXCHANGE (this “Agreement”) is entered into on May 23, 2022, with an effective date of the Effective Time (as defined below), by and among Pedro’s List, Inc., a Nevada corporation (“Acquiring Company”), Pedro’s List U.S. L.L.C., a Nevada limited liability company (“Target Company”), and each of the members of Target Company identified on the signature pages hereto. Such members own 100% of the membership units and ownership interests in Target Company and are sometimes referred to herein as the “Members.”
