This Retirement Agreement (“Agreement”) is entered into between Hibbett Sporting Goods, Inc. (“Hibbett”), and its predecessors, successors, assigns, affiliates, subsidiaries and related entities, (hereinafter “Employer”) and Jeffry O. Rosenthal (hereinafter “Employee”). In consideration for the mutual promises contained herein, including without limitation the Severance Payment described in paragraph 3 set forth below, Employer and Employee agree as follows:
