This AMENDMENT TO STOCK PURCHASE AGREEMENT, dated June 13, 2014 (the “Amendment”), is made and entered into by and between Samm Solutions, Inc., a California corporation dba BTS Research (formerly dba Biotox Sciences) (“BTS” or “Buyer”) and Apricus Biosciences, Inc., a Nevada corporation with its principal address at 11975 El Camino Real, Suite 300 San Diego, CA 92130 (“Apricus Bio” or “Seller”).

Apricus Biosciences, Inc., a Nevada corporation (the “Company”), pursuant to its 2012 Stock Long Term Incentive Plan (the “Plan”), hereby grants to the holder listed below (“Participant”), an option to purchase the number of shares of the Company’s Stock (“Stock”) set forth below (the “Stock Option”). This Stock Option is subject to all of the terms and conditions set forth herein and in the Stock Option Agreement attached hereto as Exhibit A (the “Stock Option Agreement”) and the Plan, which are incorporated herein by reference. Unless otherwise defined herein, the terms defined in the Plan shall have the same defined meanings in this Grant Notice and the Stock Option Agreement.
