THIS AGREEMENT (hereinafter referred to as this "Agreement") is entered into as of this ___ day of NOVEMBER, 2011 by and between INFORMATION ARCHITECTS CORPORATION (IACH as to this agreement) a publically held organized under the laws of North Carolina and WELLESLEY ASSET SECURED PORTFOLIO, INC a Florida Corporation (CORP as to this agreement) upon the following premises which currently owns the B interests of Pan American LLC (a financial fund called Pan American Fund LLC):
