This PERFORMANCE SHARE AWARD AGREEMENT (this “AGREEMENT”) is made to be effective as of August 28, 2020 (the date on which the COMMITTEE (as defined below) approves the award, referred to as the “GRANT DATE”), by and between Abercrombie & Fitch Co., a Delaware corporation (the “COMPANY”), and [EXECUTIVE], an employee (associate) of the COMPANY or of one of the COMPANY’s subsidiaries or affiliates (“PARTICIPANT”).
