This PERFORMANCE SHARE AWARD AGREEMENT (this “AGREEMENT”) is made to be effective as of March 23, 2021 (the date on which the COMMITTEE (as defined below) approves the award, referred to as the “GRANT DATE”), by and between Abercrombie & Fitch Co., a Delaware corporation (the “COMPANY”), and [ EMPLOYEE NAME ], an employee of the COMPANY or one of the COMPANY’s subsidiaries or affiliates (“PARTICIPANT”).
