THIS AMENDED AND RESTATED SHAREHOLDER PROTECTION RIGHTS AGREEMENT (the “Agreement”), dated as of March 26, 2009, is made between North Valley Bancorp, a California corporation (the “Company”), and Mellon Investor Services LLC (the “Rights Agent”), and amends, restates, supersedes and replaces the Shareholder Protection Rights Agreement dated as of September 9, 1999.
