This Employment Agreement (“Agreement”) is entered into effective as of November 7, 2012, by and between North Valley Bancorp, a California corporation (“NV Bancorp” or “Employer”), and Roger D. Nash, an individual (“Employee”), to amend, restate, supersede and replace in its entirety the Employment Agreement between Employer and Employee dated October 28, 2005.
