This MEMBERSHIP INTERESTS PURCHASE AGREEMENT (this “Agreement”), dated as of October 9, 2020, is entered into by and among Coincross, LLC, a Delaware limited liability company (“Coincross”, or “Seller”), and Prometheum, Inc., a Delaware corporation (the “Purchaser”).
