This AGREEMENT FOR THE EXCHANGE OF COMMON STOCK made effective this 22nd day of December, 2005, by and among Life Exchange, Inc., a Nevada corporation formerly known as Technology Enterprises (the "ISSUER"), the individuals listed in Exhibit A attached hereto, (the "SHAREHOLDERS"), which SHAREHOLDERS own all of the issued and outstanding shares of Life Exchange, Inc., a Delaware corporation ("LIFE"), and The Vantage Group Ltd. ("VANTAGE"), (the SHAREHOLDERS and VANTAGE, referred to herein as "INVESTORS").
