WHEREAS, Acquiror desires to acquire from the registered holders of the Company’s common stock (the “Shareholders”) all of the issued and outstanding common shares of the Company’s capital stock (the “Company Stock”), aggregating four hundred thousand (400,000) shares of common stock, par value $0.001 per share, solely in exchange for four hundred thousand (400,000) Class A preferred shares, par value $0.001 per share, in the capital stock of Acquiror (“Acquiror Shares”);
