This Settlement Agreement and Mutual General Release (“Agreement”) is made and entered into between Dee Kelly (hereinafter referred to as “Consultant”) on the one hand and CryoPort, Inc., a Nevada corporation (hereinafter referred to as the “Company”) on the other hand as of July 24, 2009.
