THIS PROMISSORY NOTE PURCHASE AGREEMENT (this “Agreement”) is made effective as of January ___, 2010 by and among Gabriel Technologies Corporation, a Delaware corporation (the “Company”), and the investors listed on the Schedule of Investors attached hereto (each, an “Investor” and collectively, the “Investors”).

THIS EMPLOYMENT AGREEMENT (“Agreement”) is hereby made and entered into as of the 21st of August, 2009 by and between Gabriel Technologies Corporation (“Company”), a Delaware Corporation, on the one hand, and George lingo (“Employee”), an individual, on the other hand. The Company and the Employee acknowledge that the Employee has operated as the Company’s President and CEO effective as of June 2, 2009. Accordingly, for purposes of this Agreement June 2, 2009 shall be the “Effective Date” of this Agreement. The Company and Employee shall at times be referred to jointly as the “Parties.”

This Amendment to Employment Agreement, effective as of the 2nd day of December, 2009, is made and entered into as of the 25th day of January, 2010, by and between Gabriel Technologies Corporation, a Delaware Corporation (the “Company”), and George Tingo (hereinafter called “Executive).
