Ante5, Inc. (the "Company"), pursuant to the 2010 Stock Incentive Plan (as such plan may be amended and/or restated, the "Plan"), hereby grants to Optionee listed below ("Optionee"), an option to purchase the number of shares of the Company's Common Stock ("Shares") set forth below, subject to the terms and conditions of the Plan and this Stock Option Agreement. Unless otherwise defined herein, the terms defined in the Plan shall have the same defined meanings in this Stock Option Agreement.

THIS AMENDMENT TO REVOLVING CREDIT AND SECURITY AGREEMENT (the “Amendment”), is entered into as of October __, 2011 (the “Effective Date”), by and among ANTE5, INC., a Delaware corporation (“Borrower”), the undersigned lenders holding at least fifty percent (50%) of the Commitment Percentages (as defined in the Well Financing Agreement, as defined below)(collectively, the “Lenders” and individually a “Lender”) and PRENANTE5, LLC, as agent for Lenders (PrenAnte5, LLC, in such capacity, the “Agent”). In consideration of the premises herein contained and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties, intending to be legally bound, hereby agree as follows:
