This STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of November 7, 2011, is by and between RADNET MANAGEMENT, INC., a California corporation (“Buyer”), and CML HEALTHCARE INC., a corporation organized under the laws of the Province of Ontario (“Seller”), and joined in by RadNet, Inc., a Delaware corporation (“Parent”). Capitalized terms used herein shall have the meanings set forth in Appendix A attached hereto.
