This SECURITIES PURCHASE AGREEMENT (the “Agreement”), dated as of January 8, 2014, by and between Players Network, a Nevada corporation, with headquarters located at 1771 E. Flamingo Road #201-A, Las Vegas, NV 89119 (the “Company”), and LG Capital Funding, LLC., a New York corporation, with its address at 1218 Union Street, Suite #2, Brooklyn, NY 11225 (the “Buyer”).

The undersigned understands that Players Network, a Nevada corporation (the "Company"), is offering for sale shares of its common stock, par value $0.001 per share ("Shares") and warrants exercisable for shares of the Company’s common stock (“Warrants”) on the terms and conditions set forth in this Subscription Agreement. The undersigned further understands that the offer and sale of the Shares and the Warrants is being made without registration under the Securities Act of 1933, as amended (the "Securities Act").

THIS WARRANT AND THE COMMON SHARES ISSUABLE UPON EXERCISE OF THIS WARRANT MAY NOT BE SOLD, OFFERED FOR SALE, PLEDGED OR HYPOTHECATED IN THE ABSENCE OF AN EFFECTIVE REGISTRATION STATEMENT UNDER SAID ACT OR AN OPINION OF COUNSEL REASONABLY SATISFACTORY TO PLAYERS NETWORK, Inc. THAT SUCH REGISTRATION IS NOT REQUIRED.
