THIS MEMORANDUM OF UNDERSTANDING, dated and effective as of January 31, 2011, is made and entered into by and between Nuvilex, Inc., a Nevada corporation (the "Company"), and Robert F. Ryan, M.S., Ph.D. ("Dr. Ryan"), serving as President and Chief Executive Officer of Nuvilex, Inc.
