THIS AGREEMENT, made and entered into as of this 1st day of April, 2007, by and among SUN LIFE ASSURANCE COMPANY OF CANADA (U.S.), a Delaware life insurance company, SUN LIFE INSURANCE AND ANNUITY COMPANY OF NEW YORK, a New York life insurance company, INDEPENDENCE LIFE AND ANNUITY COMPANY, a Rhode Island life insurance company (each, a åCompanyæ and collectively, the åCompaniesæ), on each Company’s own behalf and on behalf of each Company’s separate accounts (the åAccountsæ); COLUMBIA FUNDS VARIABLE INSURANCE TRUST I, an open-end management investment company organized under the laws of Delaware (the åFundæ); COLUMBIA MANAGEMENT ADVISORS, LLC (the åAdviseræ), a Massachusetts limited liability corporation; and COLUMBIA MANAGEMENT DISTRIBUTORS, INC. (the åDistributoræ), a Massachusetts corporation, outlines the duties and responsibilities of the parties and supercedes all prior participation agreements between the parties and their successors.
