This TERM LOAN AGREEMENT, dated as of October 22, 2018 (as amended, restated, amended and restated, supplemented or otherwise modified from time to time, this “Agreement”), by and among UNITED NATURAL FOODS, INC., a Delaware corporation, as the Lead Borrower, SUPERVALU INC., a Delaware corporation, as the Co-Borrower, the several banks and other financial institutions or entities from time to time parties hereto as lenders (the “Lenders”), CREDIT SUISSE AG, CAYMAN ISLANDS BRANCH (as successor in interest to GOLDMAN SACHS BANK USA (“GS Bank”)), as Administrative Agent for the Lenders and as Collateral Agent for the Secured Parties.
