SECURITY AGREEMENT (as amended, restated, supplemented or otherwise modified from time to time in accordance herewith and including all attachments, exhibits and schedules hereto, the “Agreement”), dated as of June 10, 2002, made by SPEEDCOM WIRELESS CORPORATION, a Delaware corporation (the “Grantor”), in favor of DMG Legacy Fund LLC, DMG Legacy Institutional Fund LLC, DMG International Ltd. and SDS Merchant Fund, L.P. (collectively, the “Secured Parties”).
