This SEPARATION AND RELEASE AGREEMENT (the “Agreement”) is made and entered into by and between ROGUE WAVE SOFTWARE, INC. (“Rogue Wave”) and DAVID A. RICE, with a principal residence at principal residence at 240 Dixon Road, Boulder, Colorado 80302 (“Mr. Rice”) (collectively “Parties”) as of the Execution Date of this Agreement defined in paragraph 29 below.
