This SEPARATION AND RELEASE AGREEMENT (the “Agreement”) is made and entered into by and between ROGUE WAVE SOFTWARE, INC. (“Rogue Wave”) and John A. Racioppi, with a principal residence at principal residence at 16 Ridgecrest Drive, Scotts Valley, CA 95066(“Mr. Racioppi”) (collectively “Parties”) as of the Execution Date of this Agreement defined in paragraph 28 below.
