This CREDIT AGREEMENT, dated as of December 13, 2011, is by and among OGE ENERGY CORP., an Oklahoma corporation (the "Borrower"), the lenders from time to time party hereto (the "Lenders"), WELLS FARGO BANK, NATIONAL ASSOCIATION, a national banking association, as Agent for the Lenders, JPMORGAN CHASE BANK, N.A., as Syndication Agent, and MIZUHO CORPORATE BANK, LTD., THE ROYAL BANK OF SCOTLAND PLC, UBS SECURITIES LLC AND UNION BANK, N.A., as Co‑Documentation Agents.
