THIS AGREEMENT OF PURCHASE AND SALE (this “Agreement”) is made as of the 26th day of March, 2004 by and among U.S. Wireless Data, Inc., a Delaware corporation (the “Company”) and SANI Operating Co., LLC, a Delaware limited liability company (the “Purchaser”). Capitalized terms used herein and not defined in the specific Section in which they are used, shall have the meanings assigned to such terms in Section 12.01 hereof.
