This Employment Agreement (the “Agreement”), effective November 28, 2005 (the “Effective Date”) is by and between Lifeline Therapeutics, Inc., a Colorado corporation (the “Employer”), and Stephen K. Onody, an individual (the “Employee”), and supersedes any and all prior oral or written agreements between the parties with respect to the subject matter hereof.
