This AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of April 23, 2007, to be effective March 26, 2007, between SILICON VALLEY BANK, a California chartered bank, with its principal place of business at 3003 Tasman Drive, Santa Clara, California 95054 (FAX (408) 980-6410) (“Bank”) and COGNIGEN NETWORKS, INC., a Colorado corporation, with offices at 6405 218th Street, SW, Suite 305, Mountlake Terrace, WA 98043 (FAX (206) 297.6161)(“Borrower”), provides the terms on which Bank shall lend to Borrower and Borrower shall repay Bank. This Agreement amends and restates that certain Accounts Receivable Purchase Agreement between the parties, dated December 26, 2003 (the “Purchase Agreement”), in its entirety.
