This EXECUTIVE EMPLOYMENT AGREEMENT (“Agreement”) between GEOVIC MINING CORP. (“Company”) and JOHN E. SHERBORNE (“Executive”) is effective on 01 January 2008 and remains in effect through the Term of this Agreement (as hereinafter defined).
