THIS EMPLOYMENT AGREEMENT (hereinafter called this “Agreement”) is entered into effective as of October 5, 1998 (the “Effective Date”), by and between MARINER ENERGY, INC. (hereinafter called “Company”) and C. Ken Burgess (hereinafter called “Employee”). WHEREAS, Company desires to employ Employee upon the terms and conditions set forth herein; and WHEREAS, Employee desires to be employed by Company upon the terms and conditions set forth herein; NOW, THEREFORE, in consideration of the premises and the mutual covenants and agreements herein contained, the parties hereto agree as follows:
