WHEREAS the Vendor is the owner of the Purchased Assets and has agreed to sell, transfer, assign, set over and convey the Purchased Assets to the Purchaser and the Purchaser has agreed to purchase, acquire and assume the Purchased Assets from the Vendor on the terms and conditions set forth in this Agreement.
