In addition to the terms defined in the Master Agreement, the following terms shall have the following meanings when used in this Services Agreement.

This Master Framework Agreement (this “Master Agreement”) is entered into effective June 24, 2006 (the “Master Agreement Effective Date”) by and between TXU ELECTRIC DELIVERY COMPANY, a Texas corporation having a principal place of business at Lincoln Plaza, 500 N. Akard Street, Dallas, Texas 75201 (“TXUED”), and INFRASTRUX ENERGY SERVICES GROUP LP, a Delaware limited partnership having a principal place of business at 115 W. 7th Street, Fort Worth, Texas 76101 (“Vendor”).

This Confirmation evidences a complete and binding agreement between Party A and Party B as to the terms of the Transaction to which this Confirmation relates. The Parties to this Confirmation shall in good faith attempt to negotiate and execute a 1992 ISDA Master Agreement (Multicurrency-Cross Border) (the “ISDA Form” or, when executed, the “Agreement”) with such modifications as Party A and Party B will in good faith agree. Upon execution of the Agreement, this Confirmation will supplement, form a part of, and be subject to that Agreement. Until Party A and Party B execute and deliver the Agreement, if any, this Confirmation, together with all other documents referring to the ISDA Form (each a “Confirmation”) confirming transactions (each a “Transaction”) entered into between Party A and Party B (notwithstanding anything to the contrary in a Confirmation), shall supplement, form a part of, and be subject to an agreement (which shall survive the termination of this Transaction) in the
